CONFIDENTIALITY AND PROPRIETARY INFORMATION AGREEMENT

This confidentiality agreement is a written legal contract between ZO Enterprises LLC (Company) and (Representative).
The confidentiality agreement lays out binding terms and conditions that prohibit Representative, , and or any members of from disclosing Company confidential and proprietary information.

The Company is very sensitive to the issue of protection confidential and ownership information. Company employees, consultants, business partners, and Representatives are expected to use good judgment, to adhere to high ethical standards. and to abide by any confidentiality obligations. Company Representatives shall not use. bring on the premises or otherwise disclose any confidential or proprietary information to former employers or to third parties. All Representatives share responsibility to ensure that proper security is maintained.

The Representative cannot disclose, directly or indirectly, the Confidential Information or proprietary information, or any information derived therefrom, to any third person without prior written approval from the Company.

Representative acknowledges that he/she may have access to Company Confidential and Proprietary information. Such Confidential Information may include, without limitation: a) business and financial information, b) business methods and practices, c) technologies and technological strategies. d) marketing strategies. e) manuals, process and procedures, f) Property information, g) other information as Company may designate as confidentiality to prevent any unauthorized disclosure.

Confidential information and proprietary information shall not be disclosed to any representative, consultant or third party unless they agree to execute and be bound by the terms of this Agreement, and have been previously approved by Nevena Sofkina, Owner/Member of ZO Enterprises LLC.

I have been advised, that the unauthorized disclosure, or negligent handling of confidential or proprietary information by me, could cause damage or irreparable injury to the Company or could be used to advantage by any other Company or individuals. I hereby agree that I will never divulge confidential or proprietary information to anyone unless: (a) I have officially verified that the recipient has been proptrly authorized by the Owner/Member of Company to disclosure: or (b) I have been given prior written notice of authorization by the Owner/Member of Company granting me that such disclosure is permitted. I undersiand that if I am uncertain about disclosing information. I am required to confirm with the Owner/Mernber of the Company that the information can be disclosed, except to person as provided in (a) or (b) above I further understand that I am obligated to comply, with laws and regulations that prohibit the unauthorized disclosure of proprietary or confidential information.

This Agreement shall remain in effect for a period of two (2 years) from the date hereof, unless earlier terminated by either party upon a thirty (30) day written notice to the other. Notwithstanding the termination or expiration of the Agreement. the obligations of the Representative not to disclose any Confidential Information to third party pursuant to this Agreement shall remain in effect for a period of two (2) years following the date of its disclosure by the Company to the Representative.

This Agreement shall be construed in accordance with the laws of the State of Arizona as of the date first set forth above. Only a writing signed by both parties may modify this Agreement.
